and the respective end user (the “Licensee”)

By installing, copying, activating or otherwise using “rsk.files – File Manager for Windows” (the “Software”), the Licensee agrees to this End User License Agreement. Otherwise, the Software must not be installed or used and must be removed immediately. Mandatory statutory rights, in particular consumer rights, remain unaffected.

1. Subject matter

1.1 This Agreement governs provision of the executable version of the Software (object code), including any electronic documentation supplied with it.

1.2 The Software is intended for local viewing, navigation, searching, organisation and processing of files, folders and storage locations on supported Windows systems. Depending on the version, it may copy, move, rename, delete, open, search, filter, compare, preview or otherwise process files and folders.

1.3 The product description in effect when the contract is concluded determines the agreed functionality. Planned, announced or preview features create no entitlement unless expressly agreed. The Software is licensed, not sold; all rights not expressly granted remain with the Licensor.

2. Licence grant and permitted use

2.1 The Licensor grants a non-exclusive and, subject to mandatory law, non-transferable and non-sublicensable licence within the agreed scope.

2.2 The licence is assigned to one individual. That person may install and personally use the Software on any number of their own devices. Every additional user requires a separate licence.

2.3 A necessary backup copy may be made and used solely for backup. Making the Software available to third parties by rental, lending, leasing, hosting, software as a service or any other temporary provision is prohibited without prior consent unless mandatory law provides otherwise.

2.4 Use in providing the Licensee’s own services is permitted provided that no third party receives the Software itself or independent access to use it.

2.5 The trial is fully functional for seven days. A valid licence is mandatory for any continued use after that period.

3. Copyright and other intellectual property rights

3.1 The Software, including copies, interfaces, graphics, text and documentation, is protected by copyright. Rights belong to the Licensor or the identified rightsholders.

3.2 Copyright notices, trademarks, licence information, serial numbers and other proprietary notices must not be removed, altered or obscured. Licence keys and activation information must be kept confidential, and known misuse must be reported without delay.

4. Prohibited acts

4.1 Decompiling, disassembling, reverse engineering or otherwise attempting to discover source code is prohibited except where mandatory law expressly permits it, including for interoperability under statutory conditions.

4.2 The Software may not be modified, adapted or translated and derivative works may not be created without express permission or a mandatory legal basis. Technical protection, activation and licence-checking mechanisms must not be circumvented or impaired.

4.3 The Software must not be used for unlawful purposes or to process files or content the Licensee is not authorised to process.

5. Special obligations when using rsk.files

5.1 File operations initiated by the Licensee may immediately alter files, folders, drives, destinations and directory structures. Copying, moving, renaming, replacing, overwriting or deleting may not be fully reversible, particularly on network drives, cloud or synchronised folders, removable media, mobile devices, virtual file systems and archives.

5.2 Selection, source, destination, names, filters, search criteria, conflict handling, overwrite options and all other parameters must be checked carefully before execution. Available previews, confirmations, queues, logs, test facilities and conflict warnings should be reviewed before final execution.

5.3 Previews, search results, sizes, checksums, comparisons, progress indicators and conflict notices reflect the state detectable at the time. Concurrent access by other software or users and later changes may produce different results.

5.4 Before extensive, difficult-to-review or potentially irreversible operations, the Licensee must create a current and complete backup separate from the affected location and verify that it can be restored. Undo, history, logs, queues, previews and the Windows Recycle Bin do not replace backups or guarantee recovery.

5.5 The Licensee is responsible for sufficient storage, permissions, accessible sources and destinations, stable systems and power, drives, networks, cloud clients and third-party software. Interruptions, locks, competing access, invalid names or paths, damaged file systems, security software and synchronisation services may affect operations.

5.6 Before changing data, the Licensee must verify authorisation, dependencies of other people or systems, and any retention, documentation, privacy or other legal obligations.

5.7 rsk.files is not a professional backup, archiving, synchronisation, data-recovery or version-control solution and must not be the sole means of protecting data. It is not intended for use where a malfunction could directly endanger life, health or critical infrastructure. Files from unknown sources should be opened only with appropriate safeguards.

6. Installation, activation, requirements and updates

6.1 The Licensee is responsible for installation, setup and compliance with published system requirements. Each installation requires a one-time internet connection for activation with the licence key; no permanent internet connection is needed afterwards.

6.2 The Licensor may verify licence validity by reasonable technical means and may provide updates, patches, fixes or new versions. There is no entitlement to particular enhancements or new major versions unless expressly agreed or required by law.

6.3 Statutory update duties and consumer rights for digital products remain unaffected. Security-related and functionally necessary updates should be installed within a reasonable period.

7. Term and termination

7.1 Unless stated otherwise, the licence for the purchased major version is granted indefinitely, without a subscription or automatic renewal. Either party’s right to terminate for good cause remains unaffected, including where a culpable material breach is not remedied within a reasonable period after notice, where notice is legally required and reasonable.

7.2 On termination, the right to use the Software ends. Use must cease and the Software, unnecessary copies and licence information must be deleted unless statutory retention rights or duties apply. Statutory withdrawal, rescission, termination and other ending rights remain unaffected.

8. Defects and warranty

8.1 Statutory provisions apply. Consumer rights, particularly for digital products, remain unaffected. Completely error-free operation in every system environment, file system, medium, network or cloud configuration and combination with third-party software cannot be guaranteed.

8.2 An impairment is not a defect where caused exclusively by improper use, an unsupported environment, damaged files or media, insufficient permissions or storage, network or cloud disruption, third-party software or other circumstances outside the Licensor’s responsibility.

8.3 Defects should be reported promptly and reproducibly, including the Software version, operating system, steps, error messages and, where possible without disclosing confidential content, suitable logs.

9. Liability

9.1 The Licensor has unlimited liability for intent and gross negligence and for injury to life, body or health. Liability under product liability law, fraudulent concealment, an express guarantee and other mandatory law remains unaffected.

9.2 For a slightly negligent breach of an essential contractual duty, liability is limited to foreseeable loss typical of the contract. For data loss or damage caused by slight negligence, liability is limited to the typical restoration cost that would have arisen with proper, regular and risk-appropriate backups.

9.3 Subject to the mandatory cases above, the Licensor is not liable for consequences of incorrect selection, operation or configuration; deliberately initiated deletion or overwriting; missing backups; insufficient permissions; defective media; network or cloud disruption; concurrent access; malware; or other third-party software.

9.4 Indirect and consequential loss, including business interruption, lost profit and lost savings, is excluded for slight negligence unless it is foreseeable and typical damage resulting from breach of an essential contractual duty. Exclusions and limitations also benefit legal representatives, employees and agents.

10. Data security and privacy

10.1 The Licensee is responsible for regular, appropriate backups stored separately from the production system. Frequency and scope must reflect the importance, rate of change and replaceability of the data.

10.2 Where personal data is processed, the Licensee is responsible for its lawfulness and compliance with applicable privacy law. The published privacy information applies to transmissions made for activation, licence or update checks, diagnostics and support.

10.3 Operating systems, accounts, storage media, networks and backups must be appropriately protected against unauthorised access, malware and loss.

11. Third-party components and services

11.1 Additional terms supplied with the Software or documentation may apply to third-party or open-source components and, where mandatory, take precedence for those components.

11.2 Operating-system features, network drives, cloud storage, preview handlers, codecs, shell extensions, external applications and other third-party services may be governed by their providers’ terms. The Licensor does not provide them and does not warrant their availability or freedom from defects.

12. Transfer to third parties

12.1 Transfer requires prior consent unless mandatory law, including statutory exhaustion principles, permits it without consent. On a permitted permanent transfer, the former Licensee must cease use, delete remaining copies and provide all information needed for lawful use. A licence bundle may be split only where mandatory law permits.

13. Changes to this EULA

13.1 The version incorporated when the contract was concluded generally governs the purchased Software version. An amended EULA may apply to future versions, additional functions or new contracts. Changes to an existing contractual relationship require consent unless mandatory law permits otherwise.

14. Final provisions

14.1 German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection rules of the country in which a consumer habitually resides remain unaffected.

14.2 For merchants, public-law entities and special public-law funds, the Licensor’s registered office is the exclusive venue where legally permissible.

14.3 Invalidity or unenforceability of one provision does not affect the remainder; statutory rules take its place. Individual agreements prevail. Amendments should be made in text form for evidential purposes; statutory formal requirements remain unaffected.
